Charter Space Terms of Service

These Terms of Service (these "Terms") govern the use of Charter Space's proprietary complex engineering operations and program management software designed to assist engineering companies manufacturing spacecraft and other complex systems with organizational and engineering-related tasks (together with all related services and all content, tools, features, and functionalities offered thereon, the "Charter Space Service") made available by Charter Space, Inc., a Delaware corporation ("Charter Space").
BY EXECUTING AN ORDER FORM THAT REFERENCES THESE TERMS, BY CLICKING A BOX INDICATING ACCEPTANCE OF THESE TERMS OR BY OTHERWISE ACCESSING THE CHARTER SPACE SERVICE, CUSTOMER HEREBY ACCEPTS TO BE BOUND TO THESE TERMS.
1. Definitions
Authorized User: Any employee of Customer who is authorized by Customer to access and use the Charter Space Service.
Confidential Information: Information marked as confidential or that should reasonably be understood as confidential.
Documentation: Printed and digital instructions, on-line help files, technical documentation and user manuals.
2. Charter Space Service
Charter Space grants Customer a non-exclusive right to access and use the Charter Space Service solely for its internal business purposes, subject to seat limitations specified in the Order Form.
Access Restrictions
Customer cannot:
- Reverse engineer or probe/test vulnerability
- Develop competitive products
- Transfer or resell the Service
- Use automated devices to extract data
- Violate applicable law (including ITAR)
Service Availability
The Service is available 24 hours a day, 7 days a week except for emergency or planned downtime, force majeure events, or misuse of the Service.

Contact support@charter.space with commercially reasonable response within two business days.
3. Customer Data
Customer is responsible for all uploaded data and grants Charter Space a non-exclusive, royalty-free, fully-paid worldwide license to access and use the Customer Data to provide the Service. Charter Space may aggregate, collect and analyze Customer Data to improve services or disclose in aggregated and anonymized format.
4. Fees
- Payment due within 30 days
- Fees are quoted and payable in United States dollars (USD)
- Fees are non-cancelable and non-refundable
- Charter Space may suspend access if payment is 5+ days late
- Customer responsible for all taxes except those based on Charter Space's income
5. Proprietary Rights
Charter Space retains all rights, title, and interest in and to the Charter Space Service, including all intellectual property rights.
7. Warranties and Disclaimers
Charter Space warrants that the Service will conform in all material respects with the Documentation.
IMPORTANT DISCLAIMER:
The Charter Space Service, including all content, tools, documentation, and communications provided by Charter Space, is for general informational purposes only and does not constitute legal, financial, or insurance advice.
The Service is provided "AS IS" excluding warranties of merchantability and fitness for particular purpose.
10. Term & Termination
- Initial term per Order Form with automatic renewal unless 14 days notice given
- Either party can terminate without cause on first day of following month
- Material breach must be cured within 30 days
11. General
Governing Law: California law, exclusive jurisdiction in Los Angeles courts
ITAR Compliance: Customer must comply with all applicable export control laws
